Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Circles Audio website located at circlesaudio.com (the “Site”) and any products, downloads, subscriptions, sample libraries, loops, presets, installers, standalone WAV packs, software, and related services offered by Circles Audio LLC (“Circles,” “we,” “us,” or “our”) (collectively, the “Services” and “Products”).

By accessing or using the Site or any Services or Products, you agree to these Terms. If you do not agree, do not use the Site, Services, or Products.

1) Eligibility

You must be at least 18 years old, or the age of majority where you live, to purchase Products. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2) Purchases, Delivery, and Access

Products may be delivered through download links, installers, customer account portals, license keys, activation codes, or other methods selected by Circles. You are responsible for maintaining access to your account credentials, email address, downloaded files, and compatible systems required to use the Products.

We may use third-party providers to process payments, manage downloads, host customer accounts, and provide licensing or activation services. Your use of those providers may also be subject to their terms.

3) Product Types and Plans

Circles may offer, among other things:

Circles Plugin — downloadable software for digital audio workstations featuring pre-recorded percussion and instrumental sounds, samples, and loops
Circles Plugin Expansion Packs — content packs and expansion libraries designed for use with the Circles Plugin
Standalone WAV Packs — WAV-based sample and loop products delivered as files and not dependent on the Circles Plugin

Circles may also offer plans or tiers including:

Core (Owned Forever) — a perpetual license to the Core tier as described at checkout
Complete (Owned Forever) — a perpetual license to the Complete tier, including access to all Circles Plugin Expansion Packs released on or before your purchase date, unless otherwise stated at checkout
Rent-to-Own — available only for Complete, and only where expressly stated at checkout

Standalone WAV Packs are not included with Core or Complete unless expressly stated on the applicable product page or at checkout. Product details, plan details, and included content shown at checkout or on the relevant product page are incorporated into these Terms by reference.

4) License to Use Products (General)

Subject to your compliance with these Terms, Circles grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Products for your personal use or internal business music/audio production purposes.

Use of the Circles Plugin is governed by the Circles Software EULA. If there is a conflict between these Terms and the EULA with respect to the Circles Plugin, the EULA controls. These Terms control your use of the Site, purchases, subscriptions, and audio content licenses.

5) Royalty-Free License for Audio Content

Unless a product page or included license file states otherwise, the following terms apply to all Circles audio content you lawfully obtain from us, whether delivered as Circles Plugin Expansion Packs or as Standalone WAV Packs, including one-shots, loops, samples, kits, presets, MIDI, impulse responses, project files, and related assets (collectively, the “Content”).

5.1 You May

Use the Content in commercial and non-commercial finished works, including songs, albums, cues, scores, podcasts, film, television, advertisements, games, streaming content, and client work
Edit, process, chop, pitch, time-stretch, layer, and otherwise transform the Content
Distribute finished works that incorporate the Content, royalty-free

5.2 You May Not

Sell, resell, sublicense, distribute, share, give away, lend, or transfer the Content, installers, or any portion of the Products as standalone files
Use the Content to create, distribute, or promote any product that is primarily a sample pack, loop pack, drum kit, preset pack, construction kit, IR library, or other sound/content library, whether free or paid
Upload the Content, or substantially similar copies, to file-sharing sites, torrents, forums, Discord servers, GitHub repositories, or any service intended for redistribution of raw assets
Provide the Content in any format that allows a third party to access, isolate, extract, download, or reuse the raw Content or substantially similar copies

5.3 Client Work

You may deliver finished works incorporating the Content to your clients. You may not provide clients with the raw Content, isolated stems intended to function as a reusable sound library, or any deliverable designed primarily to provide ongoing access to the Content itself. If a client needs ongoing direct access to the Content, that client must obtain its own license.

5.4 Content ID / Fingerprinting

Automated fingerprinting and content-matching systems can produce false claims or false matches. You are responsible for disputes arising from platform errors or third-party claims relating to your own releases, uploads, or registrations. Upon reasonable request, Circles may provide proof of purchase or licensing information for Content obtained from us.

6) AI / Machine Learning Restrictions

Unless Circles expressly permits it in writing, you may not use any Content, presets, patches, metadata, installers, or related Product materials to train, fine-tune, evaluate, or improve any artificial intelligence or machine learning model, including generative audio models.

You may not upload Content to any AI or machine learning service if that service’s terms grant it rights to learn from, reuse, reproduce, distribute, or make the Content available beyond your private use in creating a finished production.

7) Prohibited Conduct

Reverse engineer, decompile, disassemble, or bypass licensing, activation, or security measures, except where prohibited by applicable law
Use bots, scrapers, or automated systems in a way that harms or degrades the Site or Services
Use the Site, Services, or Products for unlawful activity or to infringe the rights of any third party
Misrepresent your identity, purchase status, or entitlement to access Products or Services

8) Intellectual Property and Trademarks

The Site, Services, and Products are owned by Circles or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Circles is a registered trademark for downloadable computer software for digital audio workstations featuring pre-recorded percussion and instrumental sounds, samples, and loops.

You may not use our trademarks, logos, or brand assets without our prior written permission, except as permitted by law.

9) Refund Policy

Circles Plugin: Plugin purchases may be returned within 30 days of purchase unless otherwise stated at checkout or required by law. If a refund is approved, associated licenses, activations, and access tied to the refunded purchase may be revoked, and you must stop using the refunded Circles Plugin and related entitlements.

Circles Plugin Expansion Packs and Standalone WAV Packs: Unless otherwise stated at checkout or required by law, all sales are final due to the nature of downloadable digital goods.

Rent-to-Own: Rent-to-Own is available only where expressly offered at checkout and only for Complete. Additional terms, billing schedules, and ownership conditions shown at checkout are incorporated into these Terms by reference.

10) DMCA / Copyright Complaints

If you believe material on the Site infringes your copyright, contact us at support@circlesaudio.com and include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement that you have a good-faith belief the disputed use is not authorized; (e) a statement, under penalty of perjury, that the information you provide is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and (f) your physical or electronic signature.

11) Disclaimers

THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE, SERVICES, OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLES’ TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE, SERVICES, OR PRODUCTS WILL NOT EXCEED THE AMOUNT YOU PAID TO CIRCLES FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

13) Indemnification

You agree to indemnify, defend, and hold harmless Circles and its affiliates, owners, officers, employees, contractors, licensors, and service providers from and against claims, damages, liabilities, losses, and expenses arising out of or related to your misuse of the Site, Services, or Products, your violation of these Terms, or your infringement of any third-party rights.

14) Termination

Circles may suspend or terminate your access to the Site, Services, or Products if you violate these Terms. Upon termination, any licenses granted to you under these Terms will end and you must stop using the affected Products.

Finished works you created while holding a valid license may continue to be distributed after termination, provided those works do not violate the no-redistribution, no-extraction, or competing-library restrictions in these Terms.

15) Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Exclusive jurisdiction and venue for disputes arising out of or related to these Terms will be in the state or federal courts located in Colorado.

16) Changes to These Terms

Circles may update these Terms from time to time. The Effective Date above indicates when the current version took effect. Your continued use of the Site, Services, or Products after updated Terms become effective constitutes your acceptance of them.

17) Miscellaneous

These Terms, together with any terms presented at checkout, applicable product pages, and the Circles Software EULA, form the entire agreement between you and Circles regarding the Site, Services, and Products, and supersede prior or contemporaneous understandings relating to them.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Circles’ failure to enforce any provision is not a waiver of its right to do so later.

You may not assign or transfer these Terms or any rights under them without Circles’ prior written consent. Circles may assign these Terms in connection with a merger, acquisition, asset sale, or corporate reorganization.
