These Terms of Use (“Terms”) govern your access to and use of the Site and any products, downloads, subscriptions, sample libraries, loops, presets, installers, standalone WAV packs, and related services offered by Circles (collectively, the “Services” and “Products”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Eligibility

You must be at least 18 years old (or the age of majority where you live) to purchase Products. If you use the Services on behalf of an entity, you represent you have authority to bind that entity.

2) Purchases, Delivery, and Access

Products may be delivered via download links, installers, a customer portal, license keys, activation codes, or other methods we choose. You are responsible for maintaining access to your account credentials and downloaded files.

We may use third-party providers to process payments, manage downloads, and provide licensing/activation services. Your use of those providers may be subject to their terms.

3) Product Types and Plans

Circles may offer, among other things:

  • Circles Software (downloadable computer software for digital audio workstations featuring pre-recorded percussion and instrumental sounds, samples, and loops).
  • Engine Libraries / Content Packs designed for use with Circles Software.
  • Standalone WAV Packs (WAV-based sample/loop products delivered as files, not dependent on the Circles engine).

Plans/Tiers may include:

  • Core (Owned Forever): perpetual license to the Core tier as described at purchase.
  • All Access (Monthly Subscription): subscription billed monthly; while active, includes access to all available Circles engine content, including new releases added during the subscription term, unless explicitly excluded at checkout.
  • Complete (Owned Forever): perpetual license to the Complete tier that includes access to all Circles engine content released on or before your purchase date, forever (no future releases unless explicitly included at checkout).
  • Rent-to-Own: available only for Complete (not Core), as described at checkout.

Standalone WAV Packs are not included in All Access unless expressly stated on the product page or checkout. Plan details shown at checkout and/or on plan pages are incorporated by reference.

4) License to Use Products (General)

Subject to your compliance with these Terms, Circles grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Products for personal or internal business music/audio production purposes.

Software use is governed by the Circles Software EULA. If there is a conflict between these Terms and the EULA, the EULA controls for the Software.

5) Royalty-Free License for Audio Content (Engine Content + Standalone WAV Packs)

Unless a product page or included license file states otherwise, the following applies to all Circles audio content you lawfully obtain from us, whether delivered as Circles engine content or standalone WAV packs, including (as applicable) one-shots, loops, samples, kits, presets, MIDI, IRs, project files, and related assets (the “Content”).

5.1 You MAY

  • Use the Content in commercial and non-commercial works (songs, cues, scores, film/TV, games, ads, podcasts, live performance, streaming, client work).
  • Edit, process, chop, pitch, time-stretch, layer, and otherwise transform the Content.
  • Distribute finished works that incorporate the Content, royalty-free.

5.2 You MAY NOT (No Redistribution / No Competing Libraries)

  • Sell, resell, license, sublicense, distribute, share, give away, lend, or transfer the Content, installers, or any portion of the Products as standalone files, or in any way that enables others to access the raw Content.
  • Use the Content to create or distribute any product that is primarily a sample pack, loop pack, drum kit, preset pack, construction kit, IR library, or other sound/content library, whether paid or free, even if modified.
  • Upload the Content (or substantially similar copies) to file sharing services, torrents, forums, Discords, GitHub repos, “free download” sites, or any service intended for asset redistribution.

5.3 Extraction Rule (Key)

If your distribution method allows a third party to extract, isolate, download, or retrieve the Content (or substantially similar copies), that use is prohibited without our written permission.

5.4 Client Work

You may deliver finished works to clients. You may not provide clients the raw Content or deliverables designed to function as a content library. If a client needs ongoing access, they must obtain their own license.

5.5 Content ID / Fingerprinting

Automated fingerprinting systems can generate false matches. You are responsible for disputes arising from platform errors or third-party claims. We can provide proof of purchase when reasonably requested.

6) AI / Machine Learning Restrictions

Unless we expressly grant permission in writing, you may not:

  • Use any Content, presets, patches, metadata, or installers to train, fine-tune, or improve any AI or machine learning model (including generative audio models).
  • Upload Content to any AI service if that service’s terms grant it rights to learn from, reuse, or redistribute the Content beyond your private use for creating a finished production.

7) Prohibited Conduct

  • Reverse engineer, decompile, or bypass licensing/activation/security measures (except where prohibited by law).
  • Use bots/scrapers in a way that degrades the Services.
  • Use the Services for unlawful activity or to infringe others’ rights.

8) Intellectual Property and Trademarks

The Services and Products are owned by Circles or its licensors and protected by intellectual property laws.

Circles is a registered trademark for: “Downloadable computer software for digital audio workstations featuring pre-recorded percussion and instrumental sounds, samples, and loops.”

You may not use our trademarks, logos, or brand assets without written permission, except as allowed by law.

9) Refund Policy (Software)

Software purchases may be returned within 30 days of purchase unless required otherwise by law or stated at checkout.

If a refund is approved: associated licenses/activations will be revoked, you must stop using the Software and any refunded entitlements, and we may disable access to refunded downloads or services.

Standalone WAV packs / Content-only products: unless stated at checkout, all sales are final due to the nature of downloadable digital goods.

Subscriptions: cancel anytime to stop future billing. Access to subscription benefits ends at the end of the current billing period (unless otherwise stated at checkout). We do not provide prorated refunds unless required by law or stated at checkout.

10) DMCA / Copyright Complaints

Email support circlesaudio.com with: identification of the copyrighted work; identification of the allegedly infringing material (URL); your contact info; a good-faith statement and accuracy statement under penalty of perjury; and your signature (electronic acceptable).

11) Disclaimers

THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA/GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID TO CIRCLES FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT.

13) Indemnification

You agree to indemnify and hold harmless Circles from claims arising out of your use of the Services, your violation of these Terms, or your infringement of third-party rights.

14) Termination

We may suspend or terminate access if you violate these Terms. Upon termination, your license ends and you must stop using the Products. Finished works created under a valid license may remain distributed if they do not violate the redistribution/extraction rules.

15) Governing Law and Venue

These Terms are governed by Colorado law. Exclusive jurisdiction and venue are in Colorado state or federal courts.

16) Changes

We may update these Terms from time to time. The Effective Date indicates when changes take effect. Continued use means acceptance.
